The Client agrees to indemnify, defend, and hold harmless AnthonyUno and its officers, directors, employees, agents or affiliates from and against any and all claims, losses, liabilities, damages, costs or expenses (including reasonable legal fees) arising out of:
The Client’s use of the services;
Any breach by the Client of these terms;
Any violation by the Client of applicable laws or third-party rights.
All source code, designs, scripts, documentation, and other deliverables created by AnthonyUno remain the sole property of AnthonyUno until full payment of all fees due. In the event of non-payment, AnthonyUno reserves the right to suspend access to any deliverables.
Each party agrees not to disclose any confidential information received from the other party (including but not limited to technical data, business plans, customer information, or pricing) during the term of engagement and for a period of two (2) years following its termination.
If the Client fails to pay any amount when due and such failure continues for more than thirty (30) days, AnthonyUno may suspend all services without further notice until full payment is received.
AnthonyUno performs regular backups of hosted data. However, AnthonyUno shall not be liable for any loss of data occurring between backup intervals or as a result of backup failure.
If any provision of these terms is held to be invalid or unenforceable by a competent court, the remaining provisions shall continue in full force and effect.
These terms are governed by Belgian law. Any dispute arising out of or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Brussels, Belgium.
